Whistleblowing Mechanism

The Company has established and publicly announced an independent whistleblowing mailbox to provide internal and external parties with a channel to report any violations of laws or Company policies. During the handling of whistleblowing cases, all personnel involved shall maintain strict confidentiality of the whistleblower’s identity and the reported content, and ensure the whistleblower is protected from improper retaliation or adverse consequences

Scope of Whistleblowing

Any individual may file a report in accordance with the Company’s “Whistleblowing Procedure Guidelines” upon discovering any of the following:

  1. Actions that violate financial policies and affect the accuracy of financial reporting.
  2. Violations of laws, Company policies, internal regulations, or ethical standards.
  3. Misappropriation of Company assets, acceptance or solicitation of improper benefits, or involvement in fraudulent activities.
  4. Any other conduct that harms the interests of the Company

Case Handling Procedure

The Company conducts investigations and case handling in accordance with the “Whistleblowing Procedure Guidelines” through the following steps:

  1. Reports may be submitted anonymously or with real name. The Company encourages real-name reporting to facilitate communication and verification. The whistleblower shall complete the “Whistleblowing Incident Record Form.”
  2. For major violations or incidents of material harm, the case shall be reported to the Audit Committee and the Board of Directors。
  3. Investigations shall be conducted based on fairness and impartiality, allowing the involved parties the opportunity to present explanations or defenses。
  4. Cases shall be concluded within 30 days, extendable to 60 days if necessary. A “Whistleblowing Case Response Form” will be provided to whistleblowers who file real-name reports。

Confidentiality of Whistleblower Information

The Company shall keep the whistleblower’s identity and reported information strictly confidential. Such information shall not be disclosed unless authorized by the whistleblower or required by law。
If the whistleblower encounters threats or adverse actions due to the report, the Company will assist in contacting law enforcement authorities

Whistleblower Rewards

If a whistleblowing case is verified and results in significant contribution to the Company, the whistleblower may be recommended for appropriate rewards in accordance with Chapter VI – Rewards and Penalties of the Employee Work Rules
